Acquisition of Elmy Landscapes by Flora-tec

PEMCF acted as lead adviser on the acquisition of Elmy Landscapes Ltd by Flora-tec Ltd, one of the UK’s leading corporate horticulture companies. We worked with Flora-tec CEO Andy Bradley on the assessment of the target, deal structuring and the negotiation of terms with Peter Elmy.  We also conducted due diligence on Elmy on behalf of Flora-tec.

Company background

Flora-tec provides a total interior and exterior design, supply and maintenance service. Headquartered in Cambridge it operates throughout the UK from branches in Ware, Esher, Birmingham, Chester & Leeds. Flora-tec was formerly part of Cambridge based Unwins, and was the subject of a management buy-out led by Andy Bradley in 2007. Its customers include:

  • The Audit Commission

What was special

The vendors had appointed a local firm to assist them will selling the business and Flora-tec were the successful buyer following several rounds of negotiations. During the process Andy Bradley of Flora-tec was able to form a good relationship with Peter Elmy while we led the detail of some of the negotiations with the vendors advisers. 

Deal structure

The deal was funded by Flora-tec from its own resources, along with an element of vendor financing.
